These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and LawfulStay LLC, a Colorado limited liability company ("LawfulStay," "we," "us," or "our"), governing your access to and use of the LawfulStay website at lawfulstay.com and all related services (collectively, the "Service").
1. Service Description
LawfulStay is a short-term rental (STR) regulatory intelligence platform. We aggregate, organize, and present publicly available information about short-term rental regulations across thousands of jurisdictions worldwide, including zoning ordinances, licensing requirements, tax rates, fees, rental caps, and related municipal rules.
The information provided through the Service is for general informational purposes only and does not constitute legal, tax, zoning, or professional advice. Regulations change frequently, and while we make reasonable efforts to keep our data current, we cannot guarantee that all information is complete, accurate, or up to date at any given time. You should always verify regulatory requirements directly with the relevant local authorities before making any real estate, investment, or operational decisions.
2. Acceptance of Terms
By creating an account, purchasing a subscription or report, or otherwise accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you may not use the Service.
3. Account Registration
To access certain features of the Service, you must create an account. When creating an account, you agree to:
- Provide accurate and complete registration information.
- Keep your account credentials secure and not share them with others.
- Notify us promptly if you suspect unauthorized access to your account.
- Be responsible for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that we reasonably believe are being used in violation of these Terms.
4. Subscriptions and Billing
Subscription Plans
The Service offers paid subscription plans (including Portfolio Monitor plans for property managers) and one-time purchase options (including Investor Due Diligence Passes). Current pricing, features, and plan details are available on our Pricing page.
Billing and Payment
All payments are processed securely by Stripe. By subscribing or making a purchase, you authorize us to charge your payment method at the prices stated at the time of purchase. You agree that:
- Subscription plans are billed on a recurring basis (monthly or annually, depending on the plan you select).
- Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
- You are responsible for all applicable taxes.
- If a payment fails, we may retry the charge or suspend your access until payment is resolved.
Price Changes
We may change subscription prices from time to time. If we increase the price of a plan you are currently subscribed to, we will notify you at least 30 days before the change takes effect. The new price will apply at the start of your next billing cycle after the notice period.
Cancellation
You may cancel your subscription at any time through your account settings or by contacting us at updates@lawfulstay.com. Upon cancellation, your access to paid features will continue until the end of your current billing period. No partial refunds are issued for unused time within a billing period, except as described in our Refund Policy below.
5. Refund Policy
We want you to be satisfied with the Service. Our refund policy is as follows:
- Subscription plans: If you are not satisfied with your subscription, you may request a full refund within 30 days of your initial purchase or most recent renewal. Refund requests made after 30 days will not be honored.
- One-time purchases (Investor Due Diligence Passes): Refunds are available within 14 days of purchase if you have not accessed or downloaded any reports included in the pass.
- How to request a refund: Email updates@lawfulstay.com with your account email and the reason for your request. We will process approved refunds within 10 business days.
6. Free Tier
Every LawfulStay account includes one free tracked jurisdiction. The free tier provides access to basic regulatory data and change alerts for a single market. The free tier is subject to these Terms and may be modified or discontinued at our discretion with reasonable notice.
7. Acceptable Use
You agree not to use the Service to:
- Scrape, crawl, or use automated tools to extract data from the Service in bulk, including bots, spiders, or screen-scraping software.
- Reproduce, redistribute, resell, sublicense, or publicly display the data, reports, or content obtained from the Service, except for your own internal business use.
- Circumvent any access controls, rate limits, paywalls, or authentication mechanisms.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Upload or transmit malicious code, viruses, or any material that could disrupt the Service.
- Use the Service for any illegal purpose or in violation of any applicable law or regulation.
- Interfere with or disrupt the Service, its servers, or the networks connected to the Service.
- Share your account credentials or allow multiple individuals to use a single account (unless your plan explicitly permits multiple seats).
We reserve the right to investigate and take appropriate action against anyone who violates these rules, including removing content, suspending accounts, and reporting violations to law enforcement.
8. Intellectual Property
Our Content
The Service, including the website, its design, the compiled regulatory database, reports, analytics, proprietary algorithms, and all related content, is owned by LawfulStay and is protected by copyright, trademark, and other intellectual property laws. The LawfulStay name and logo are trademarks of LawfulStay LLC.
The underlying public records and government regulations we aggregate are in the public domain. Our compilation, organization, analysis, presentation, and scoring of that data constitutes original work that is proprietary to LawfulStay.
Your Rights
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your personal or internal business purposes. This license does not include the right to resell, redistribute, or create derivative works from the Service or its content.
Feedback
If you submit regulation corrections, feature suggestions, or other feedback, you grant us a non-exclusive, perpetual, royalty-free license to use, modify, and incorporate that feedback into the Service without any obligation to you.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:
- The regulatory data presented through the Service is complete, accurate, current, or error-free.
- The Service will meet your specific requirements.
- The Service will be uninterrupted, timely, secure, or free of errors.
- Any results or analyses obtained through the Service will be reliable or suitable for any particular purpose.
You acknowledge that regulatory information changes frequently and that reliance on the Service without independent verification is at your own risk. We strongly recommend consulting a qualified attorney, tax professional, or local government official before making decisions based on information obtained through the Service.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAWFULSTAY, ITS OWNER, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the fullest extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless LawfulStay and its owner, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include violation of these Terms, suspected fraudulent or abusive activity, or failure to pay.
You may terminate your account at any time by contacting us at updates@lawfulstay.com.
Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, and governing law.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved informally, it shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA), with the arbitration conducted in Denver, Colorado. The arbitrator's decision shall be final and binding.
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page and notify you by email or by posting a prominent notice on the Site. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
If you do not agree to the updated Terms, you must stop using the Service and may cancel your account.
